Vendor shall have no obligation to correct or cure or otherwise remedy any non-conformity or defect in the equipment, if (1) the equipment is not properly installed in a suitable operating environment; (2) the equipment is not properly maintained and operated under normal conditions by qualified personnel; or (3) customer has not notified Vender promptly upon discovery of any pertinent nonconformity or defect (or other breach). Under no circumstance shall Vender be liable to Customer for any loss of profits, any incidental, special, exemplary, or consequential damages, or any claims or demands brought against Customer by any other party, even if Vender has been advised of the possibility of such claims or demands; and this limitation is intended to apply to all customer's family members, guests, invitees, and other visitors to the Customers premises. Under no circumstance shall Vender be held liable for loss or damage that may be incurred by the Customer due to fire, burglary, or robbery where Vendor products have been installed by the Customer or his agent nor for any damage caused by incorrect assembly, misuse, purchaser modification, reimbursement for Customer installation time or acts of God. The laws of the State of California shall govern all transactions between the Customer and Vender; and that any dispute or litigation with respect to transactions shall take place exclusively in the State of California.
